Terms of Service

These Terms of Service (“Terms”) are an agreement between Site Star (“Site Star,” “we,” “us,” or “our”) and the business using our service (“you” or “your”).

By signing up for or using the service, you agree to these Terms and confirm that you have authority to agree on behalf of your business. If you do not agree, do not use the service.

The service

Site Star is a managed website service. We may rebuild or migrate your existing website, move it to managed hosting, and operate it for you on an ongoing basis.

You may submit website change requests by email or through another communication method we make available. Depending on your plan, the service may also include hosting, backups, monitoring, routine security maintenance, performance checks, search-visibility checks, reporting, and support.

The exact services, limits, and pricing included in your plan are described on the applicable checkout page, proposal, order form, or plan description.

The service is provided on a best-effort basis. We do not guarantee any specific business, marketing, traffic, search-ranking, performance, or revenue result.

Free previews

We may provide a free preview of a rebuilt or updated website before you become a paying customer.

A preview is provided for evaluation only, may be temporary, may be changed or removed at any time, and will not become a paid subscription without your clear agreement. We are not required to preserve, transfer, or publish a preview unless you become a paying customer or we agree otherwise in writing.

Access and authorization

To provide the service, you authorize us to access, host, modify, configure, and manage your website and related accounts, which may include your domain, hosting account, website platform, analytics, search tools, plugins, and other services needed to operate the website.

You are responsible for providing accurate access information and making sure you have the right to give us that access.

We may rely on requests submitted by you or by anyone you identify as an authorized contact. We may require additional verification before making sensitive changes involving domains, account ownership, credentials, or other important settings.

Change requests and scope

Your plan includes a reasonable volume of routine website updates. These may include changes to text, contact information, business hours, staff, services, pricing, pages, images, announcements, events, and other ordinary website content.

Requests are handled based on complexity, available capacity, and the information or approvals you provide. Turnaround times are estimates and are not guaranteed.

Large projects, full redesigns, additional websites, custom programming, complex integrations, e-commerce, extensive copywriting, unusually high request volume, emergency work, and other work outside your plan may require a separate agreement or additional fee.

We may decline or pause any request that is outside the scope of your plan, unlawful, infringing, unsafe, technically unreasonable, or likely to harm the security, stability, or reputation of your website or our service.

Your responsibilities

You agree to provide accurate information, timely access, content, instructions, and approvals.

You are responsible for the legality and accuracy of your business, products, services, advertising claims, and website content. You must own or have permission to use all content, images, logos, and other materials you provide to us.

You may not use the service for unlawful, fraudulent, deceptive, infringing, defamatory, malicious, or harmful activity.

Site Star does not provide legal, tax, accounting, regulatory-compliance, privacy-compliance, or accessibility-certification services unless expressly agreed in writing.

Fees, billing, and cancellation

The service is billed monthly at the price shown for your plan unless otherwise agreed in writing.

Fees are billed in advance, and your subscription renews automatically each billing period until canceled. You authorize us and our payment processor to charge your payment method for recurring fees, applicable taxes, and any additional work you approve.

You may cancel at any time by emailing hello@sitestar.io or through another cancellation method we make available. Cancellation takes effect at the end of your current paid billing period and stops future recurring charges.

Except where required by law, fees already paid are non-refundable, including for partial billing periods.

If a payment fails or your account becomes past due, we may pause work, suspend the service, take the managed website offline, or end the service until the balance is paid.

We may change plan prices by giving you advance notice. Any change will apply no earlier than your next billing period.

Ownership

You keep ownership of the content, images, logos, trademarks, domain name, and other materials you provide.

After all amounts due are paid, you own the final website content and custom work created specifically for your business.

We retain ownership of our software, tools, templates, reusable code, systems, processes, automation, methods, and other materials used to provide the service.

Your website may also use third-party themes, plugins, fonts, images, software, or services. Those materials remain subject to their own licenses and may not transfer when your service ends. You may need to purchase replacement licenses to continue using them.

Third-party services

The service relies on third-party providers, including hosting companies, payment processors, domain registrars, analytics services, plugins, and search platforms.

We are not responsible for outages, policy changes, discontinued features, security incidents, or failures of third-party services that are outside our reasonable control.

Security, backups, and availability

We use reasonable efforts to provide the monitoring, backups, security maintenance, and availability included in your plan.

However, no website or system is completely secure or error-free. We do not guarantee uninterrupted service, a specific uptime level, successful restoration from every backup, or protection from every vulnerability, attack, outage, or data loss.

Privacy and confidentiality

Our handling of personal information is described in our Privacy Policy.

Each party agrees to use reasonable care to protect nonpublic business, technical, financial, and security information received from the other party and to use it only as needed for the service.

SMS/Text Messaging Terms

During onboarding, we ask for your mobile phone number and whether you would like to receive text updates about your website. If you agree, you consent to receive text messages from us related to your website and the changes you request, including confirmations, questions about your requests, updates when changes are live, and occasional recommendations for your site.

Message frequency varies and depends on how often you contact us about your site. Message and data rates may apply depending on your mobile carrier and plan. Site Star does not charge for text messages.

You may reply STOP at any time to opt out. After you reply STOP, we will send one confirmation message and then stop texting you. You may still receive necessary account or service communications by email. Reply HELP for assistance, or contact us at hello@sitestar.io.

We do not sell or share your mobile phone number or text-messaging opt-in information with third parties. Our handling of your information is described in our Privacy Policy.

Intellectual-property complaints

If you believe content hosted through our service infringes your intellectual-property rights, contact us at hello@sitestar.io and identify the protected work, the disputed material, its location, and the basis for your claim.

We may remove or disable access to disputed material while reviewing a complaint and may suspend or terminate customers who repeatedly infringe the rights of others.

No guarantees and disclaimer of warranties

We may work to improve your website’s performance, speed, reliability, security, usability, and search visibility, but we do not guarantee any specific result.

The service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, Site Star and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, data, or goodwill.

Our total aggregate liability arising out of or relating to the service or these Terms will not exceed the total amount you paid us during the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited.

Indemnification

You agree to defend, indemnify, and hold harmless Site Star and its owners, employees, contractors, and affiliates from third-party claims, damages, liabilities, and reasonable attorneys’ fees arising from your content, your instructions, your business activities, your violation of these Terms, or your violation of any law or third-party right.

Ending the service

You may cancel as described above.

We may suspend or end the service for nonpayment, unlawful use, misuse, security risks, or a material violation of these Terms. We may also discontinue the service for business or operational reasons by giving reasonable notice.

If we end the service for convenience before the end of a prepaid billing period, we will provide a prorated refund for the unused portion of that period.

Website handoff

After the service ends, you may request a standard export or handoff of your transferable website content and files, provided your account is paid in full.

The export will not include our internal systems, proprietary tools, automation, reusable technology, nontransferable licenses, or third-party services that require an active subscription.

You must request the export within 30 days after the service ends. After that period, we may stop hosting the website and delete stored data consistent with our Privacy Policy and ordinary data-retention practices.

Migration assistance beyond a standard export may require an additional fee.

Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date and provide reasonable notice of material changes.

Your continued use of the service after the updated Terms take effect means you accept them.

General

These Terms, our Privacy Policy, your plan details, and any signed proposal, order form, or separate written agreement form the entire agreement between the parties concerning the service.

If there is a conflict, a signed written agreement or order form controls over these Terms, and these Terms control over general website materials.

You may not transfer these Terms without our written consent. We may transfer them in connection with a sale, merger, reorganization, or transfer of our business.

Neither party is responsible for delays or failures caused by events beyond its reasonable control.

If any provision is found unenforceable, the remaining provisions will remain in effect.

A failure to enforce a provision is not a waiver of the right to enforce it later.

The parties are independent contractors. These Terms do not create a partnership, agency, employment, or joint-venture relationship.

Provisions that by their nature should continue after the service ends will survive termination.

Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to the service or these Terms must be brought in the state or federal courts located in Travis County, Texas, and each party agrees to that jurisdiction and venue.
